1. What you are buying
These terms cover purchases of LedgerAction software credits for your business. You must be authorised to purchase for the company workspace selected on your order. They supplement the portal terms; they do not replace your contracts with your own clients.
One credit is used when a new invoice is successfully saved, including an invoice created by a recurring invoice schedule. Editing an existing invoice, adding evidence or notes, and sending further included reminders on that invoice do not use another credit. Failed or blocked duplicate submissions do not use a credit. Removing an invoice does not automatically refund its credit.
Credits belong to the company workspace that purchased them. They pay for use of the software; they do not pay an invoice debt, settle a client's account or guarantee recovery. Client users do not need credits to view or discuss invoices they owe. Payments of those invoices follow the issuing company's separate instructions.
2. Price and your order
The order review shows the selected company, number of credits, total payable in pounds sterling, any applicable tax and the payment method. Check these details and correct any mistakes before accepting. LedgerAction is currently not VAT registered and does not charge VAT.
Introductory pack prices and their end date are shown with the offer. A completed purchase is not repriced when an offer ends. Purchases above 1,000 credits require an agreed quote. A contact form or request for a quote does not itself place an order.
You accept these purchase terms separately when you review your order. Card payment authorisation takes place in Stripe's secure checkout. The sale is completed when payment is confirmed and the credits are added. Your order history records the agreed price, payment status, credits and acceptance, and a confirmation is sent by email. Contact us with the order reference if confirmation does not arrive.
3. Payment and credit delivery
Available payment methods are shown in your workspace. For cards, we add the purchased credits after Stripe confirms successful payment. Opening checkout or returning to the website does not alone confirm payment. Verification may take a short time; check the existing order before starting another purchase.
If bank transfer is offered, use the payee, bank details and unique reference on your order. Reporting that you have paid does not add credits: LedgerAction first checks that the correct funds have arrived. Do not use a creditor company's invoice bank details to buy LedgerAction credits.
A failed, cancelled or unconfirmed payment does not add credits. If money has left your account but credits are missing, contact accounts@ledgeraction.co.uk with the order reference. Do not send full card details or security codes. Duplicate payment notifications do not create additional credits.
4. Optional auto top-up
Auto top-up is optional and requires separate consent and secure card setup. You choose a 50- or 100-credit pack. When the available balance is 10 credits or fewer, the system can charge the agreed amount to your saved card and add that pack after payment succeeds. A first top-up can happen immediately after setup if your balance is already low. More than one top-up can occur in a month.
The eligible introductory enrolment receives 10% off that pack's normal price. The exact payable amount is shown in your consent before setup. Saving a preference without completing authorisation does not activate payments.
5. Optional monthly credits and discounts
The monthly option charges the agreed amount after card setup and then each month for 250 credits. The eligible introductory enrolment receives 20% off the normal 250-credit pack. Unused purchased credits roll over. For a renewal date that does not exist in a shorter month, renewal falls on that month's last day.
You can use monthly credits and auto top-up together. The two discounts apply separately and do not combine on the same purchase. Discounted enrolment is available once per company for auto top-up, and once for the monthly option. After a successful discounted purchase, switching off or cancelling that option ends its discount; restarting requires the normal price shown for the new authorisation. A failed payment can be retried without using up the discount.
The amount and recurring instruction you accept are recorded. A different payment amount requires a new authorisation; a general website price change does not by itself authorise a higher recurring charge.
6. Switching off and payment problems
In your company workspace, open Invoice credits, then Automatic & monthly credits. Use Switch off for auto top-up or Cancel future payments for the monthly option. This stops future purchases under that enrolment. A payment already submitted is still checked and, if successful, its credits are added. Contact us promptly if you need help locating these controls.
You keep purchased credits after cancellation. Existing invoices continue their configured process when the balance reaches zero, but new invoices cannot be saved until more credits are available. If a payment fails, the portal shows that attention is needed; a retry requires authorisation.
7. Errors, refunds and support
Contact accounts@ledgeraction.co.uk with your company name and order reference if you bought the wrong pack, made a duplicate payment, did not receive credits or want to request a refund. We will check the order, payment and any credits used, explain the outcome and arrange any refund that is due. Switching off a recurring option does not itself refund a completed purchase.
Refunded or disputed payments need reconciliation. We may temporarily pause new invoice creation while the payment and associated credits are checked. We will not treat an unsuccessful payment notification as a new paid order. Any adjustment is recorded in the credit history.
We provide the service with reasonable care and skill. Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any right or liability that cannot lawfully be excluded. These are business purchases; any mandatory rights that apply are unaffected.
8. Records and changes
You can print or save these terms. The version linked to an accepted order remains available; later versions apply to later agreements and do not retrospectively change a completed purchase. English law governs these purchase terms and disputes may be heard in the courts of England and Wales, subject to any mandatory rights.
